G6 Technologies
Effective Date: January 9, 2026

1. Parties and Agreement Structure

1.1 Provider: G6 Technologies, Inc.

1.2 Customer: Defined in MSA or Marketplace subscription.

1.3 Agreement Structure: These Terms & Conditions apply to all Services and are incorporated into every MSA, SOW, SLA, and Marketplace subscription.

1.4 Acceptance: Customer accepts these Terms upon signing an MSA or initiating Services.

2. Scope of Services

Includes managed services, ITaaS, cybersecurity, CMMC readiness, Microsoft cloud administration, Azure MSP services, and other services defined in governing documents.

3. Shared Responsibility Model
  • Customers maintain licensing, credentials, compliance, and accurate information.
  • G6 applies industry security standards and least-privilege access.
  • Microsoft/third-party outages are not G6 liabilities.
4. Fees and Billing
  • Fees defined in MSA, SOW, or Marketplace listing.
  • Late payments may trigger service suspension.
  • Customer responsible for taxes.
5. Service Levels and Support
  • SLA defines ticket handling, response times, support hours.
  • SLA exclusions cover ISP outages, Microsoft outages, customer-caused issues.
  • G6 may take immediate cybersecurity action when risk exists.
6. Data Protection and Security
  • Customer owns their data.
  • G6 accesses data only as needed.
  • Security aligned with NIST 800-171 and CMMC.
  • Customer responsible for backups unless otherwise defined.
7. Confidentiality

Each party protects the other’s confidential information.

8. Intellectual Property Rights
  • G6 retains all proprietary tools and methods.
  • Customer retains all data and preexisting materials.
9. Warranties and Disclaimers

Services provided “as is” except as stated in MSA.

10. Limitation of Liability
  • No indirect or consequential damages.
  • Liability capped at fees paid in prior 12 months.
11. Indemnification
  • Customer indemnifies G6 for misuse, misconfigurations, or violations.
  • G6 indemnifies Customer only for gross negligence or willful misconduct.
12. Term, Termination, and Suspension
  • Termination rights follow MSA or Marketplace rules.
  • G6 may suspend services for non-payment or security threats.
13. Changes to Terms

G6 may update Terms periodically. New versions apply to renewals and new engagements.

14. Governing Law

Commonwealth of Virginia.
